EXPLANATORY NOTE

USEC Inc. hereby amends its Schedule 14A (Proxy Statement) to correct
certain information in the table of principal accountant's fees in the "Audit,
Finance and Corporate Responsibility Committee Report" on page 21 of the form
that was filed with the Securities and Exchange Commission on March 12, 2003.
The denomination multiple "(in thousands)" was inadvertently omitted from the
table heading.
