Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 15, 2021, Kevin J. Harrill, 45, joined the Company. Mr. Harrill will serve as the Company's Controller and Chief Accounting Officer effective January 1, 2022 following the previously announced retirement of John C. Dorrian effective December 31, 2021. Mr. Harrill has extensive experience in finance and accounting leadership roles in multi-national companies, including Fortune 500 and private equity-backed corporations. Prior to joining the Company, Mr. Harrill held positions of increasing responsibility at Blackboard Inc., from 2015 to 2021, including Vice President, Chief Accounting Officer and Corporate Controller.

There are no arrangements or understandings between Mr. Harrill and any other persons pursuant to which he was selected as Controller and Chief Accounting Officer and he has no direct or indirect material interest in any transaction required to be disclosed pursuant to Item 404(a) of Regulation S-K.

Mr. Harrill has not entered into any material plan, contract, arrangement or amendment in connection with his appointment as Controller and Chief Accounting Officer.
